Business And Corporate Planning
NDHA, as part of its business and corporate planning practice:
- Prepares documents for the formation of corporations, general and limited partnerships, and limited liability companies; buy-sell agreements or stockholders agreements among stockholders of closely-held corporations; employee stock option agreements and other restricted stock purchase agreements; loan documents; real estate documents; documents for mergers of corporations, partnerships and limited liability companies; and documents for dissolution of entities; and
- Represents clients in connection with the purchases and sales of businesses and day-to-day business operations.
Estate Planning
NDHA, as part of its estate planning and probate practice:
- Performs estate and gift tax planning;
- Prepares wills, revocable trusts, irrevocable trusts, irrevocable life insurance trusts, powers of attorney and living wills;
- Forms family limited partnerships;
- Represents clients in probate and guardianship matters.
Individual Tax Planning
NDHA, as part of its individual tax planning practice, performs various types of individual tax planning, including:
- Drafts employment agreements for owners of closely-held businesses;
- Drafts stockholder agreements among stockholders of closely-held businesses;
- Drafts agreements issuing restricting stock to employees of closely-held businesses; and
- Reviews the individual tax consequences of business transactions.
Partnership and Limited Liability Company Law
NDHA, as part of its partnership and limited liability company practice:
- Prepares partnership agreements and limited liability company operating agreements;
- Prepares any other documents necessary to form the partnership or limited liability company and if necessary files such documents with the Secretary of State; and
- Provides partnership tax consulting.
Tax Controversy and Tax Litigation
As part of its tax controversy and tax litigation practice, NDHA represents clients before the Internal Revenue Service and in tax litigation in the United States Tax Court and the Federal District Courts; prepares and files offers in compromise; represents clients in connection with state tax disputes and litigation; and prepares and files ruling requests with the National Office of the Internal Revenue Service.
Trusts
NDHA, as part of its trust practice, forms a wide range of types of trusts, including:
- Revocable trusts;
- Life insurance trusts;
- Irrevocable inter vivos (living) trusts;
- Testamentary trusts; and
- Charitable trusts.
Wills and Probate
As part of its will and probate practice, NDHA performs the following services:
- Drafts simple wills, pour-over wills for use with revocable trusts, and wills creating testamentary trusts;
- Drafts durable powers of attorney, medical powers of attorney, and directives to physicians (living wills);
- Probates estates; and
- Seeks appointment of guardians.
